We bring a broad range of experience to business issues, both in negotiations and litigation. Our experience ranges from advising startup founders on company structure and fundraising to dispute resolution and complex business litigation. Our team has handled sensitive and high stakes matters for clients ranging from individuals to established Fortune 500 companies, both in California and internationally. We represent companies and individuals in a wide variety of business matters, including shareholder and partner disputes, fraud and embezzlement claims, intellectual property, and unfair competition and trade secrets disputes.

Business Disputes

We approach all types of business disputes from a strategic perspective, designed to achieve the best business solution for our clients – whether that means negotiating for a continuing business relationship or pursuing litigation through trial and beyond. We approach each matter by developing a robust, adaptable strategy with our client’s objectives in mind. Our services include:

Pre-Litigation Planning

The best resolution to business disputes is often to avoid litigation entirely. We frequently consult with clients to develop business-oriented solutions to potential disputes and to manage crisis situations before they turn into litigation. When litigation is unavoidable, our pre-litigation planning helps clients best position themselves for a positive outcome in settlement or trial.

Complex Business Litigation

When necessary, our lawyers litigate complex business cases from start to finish. We prioritize efficient resolutions that align with our client’s business objectives. When necessary, our team is equipped to handle complex business matters in state and federal courts and arbitration tribunals.

Dispute Resolution

We have extensive experience in resolving high-stakes, hostile business disputes through settlement negotiations and alternative dispute resolution. We provide our clients with objective feedback and advice throughout the negotiation process.

Whether you’re forging new business relationships or managing existing agreements, we work diligently to protect your rights and ensure your commercial contracts support your business goals.

Partnership and Shareholder Disputes

Disputes between the owners of a business can arise at any stage of the company’s life, from disagreements between founders over the vision for the company, to disputes with investors, to litigation over mergers and acquisitions or public offerings. These conflicts often have significant consequences both for the partners and shareholders and for the company itself. We help both companies and individuals navigate these disputes to reach fair, business-oriented solutions.

Our services include

Partnership Exits and Buyouts

  • We regularly advise clients in confidential negotiations with their partners, co- founders, and shareholders to negotiate business exits and partner buyouts without the need for costly and public litigation.

Shareholder Litigation

  • We represent partners and shareholders in litigation against company insiders who have breached their duties to the companies they manage. These cases often involve claims of misuse of company funds, improper accounting, fraud, and embezzlement.

Founder Representation

  • All too often, company founders are forced out of their companies after financing, mergers, or other transactions. We advise company founders in exit negotiations and litigation over their improper removal.
